These terms govern your use of the SUNSHINE Minerals Limited website and set out the basis on which we quote, contract and supply gemstones, precious metals, minerals and ferroalloys.
1. Acceptance of these terms
By accessing or using this website you agree to these Terms & Conditions. If you do not accept them, please stop using the site. We may amend these terms at any time; the version published here when you use the site is the version that applies to you.
2. Definitions
- "Company", "we", "us" — SUNSHINE Minerals Limited, established 1987, with offices in Greater London (UK), Columbus, Ohio (USA) and Manitoba (Canada).
- "Site" — this website and all content published on it.
- "Goods" — the gemstones, precious metals, minerals, ferroalloys and related products we offer.
- "You" — the visitor to the Site or the counterparty enquiring about Goods.
3. Use of the Site
The Site is provided for business information purposes. You agree not to:
- Use the Site for any unlawful, fraudulent or misleading purpose.
- Copy, scrape, republish or resell Site content, images or product data without our written permission.
- Attempt to gain unauthorised access to the Site, introduce malicious code, or interfere with its availability.
- Impersonate the Company or misrepresent your association with us.
4. No offer; indicative information only
Nothing on this Site is an offer to sell, a solicitation to buy, or investment advice in relation to any commodity, security or financial instrument. Availability, specifications and any prices shown or discussed are indicative and subject to change without notice. A binding agreement arises only when we and you sign a written contract or when we issue and you accept a written offer, subject to these terms and to that contract's terms.
5. Enquiries, quotations and orders
- Quotations are valid for the period stated on their face and otherwise for 48 hours.
- Quantities are subject to availability at the time of confirmation; mine-run and gem-quality parcels are inherently limited and are sold on a first-confirmed basis.
- Payment terms, Incoterms, packing, assay basis and inspection rights are those set out in the individual contract.
- Where an order is cancelled after confirmation, costs already incurred on your behalf (inspection, certification, insurance, freight) remain payable.
6. Compliance, KYC and responsible sourcing
We trade only with counterparties who satisfy our compliance requirements. Before any transaction we may require identity and ownership documentation, source-of-funds information and sanctions screening, and we may decline or suspend business at our discretion without giving reasons.
- We do not deal with parties subject to UK, US, EU, Canadian or UN sanctions, and you warrant that you are not such a party.
- Rough diamond parcels are offered on a Kimberley Process compliant, conflict-free basis.
- We apply OECD due-diligence principles to minerals from conflict-affected and high-risk areas and expect the same standards from our counterparties.
- You agree to comply with all applicable anti-bribery, anti-money-laundering, export control and customs laws in your own jurisdiction.
7. Product descriptions and grading
Gemstone colour, clarity and cut descriptions reflect the professional opinion of our gemologists at the time of grading, and photographs are illustrative: natural stones vary and on-screen colour depends on your display. Third-party laboratory reports express the opinion of that laboratory. Metal and alloy specifications are stated on the certificate of analysis for each lot and are subject to the tolerances and umpire-assay procedure agreed in the contract. Where you require independent certification, tell us before confirmation so it can be arranged and priced.
8. Intellectual property
All text, images, logos, trade marks, layouts and product data on the Site belong to SUNSHINE Minerals Limited or our licensors and are protected by intellectual property law. You may view and print pages for your internal business use. All other use, including commercial reproduction or use of our name and marks, requires our prior written consent.
9. Third-party links
The Site may link to third-party websites, laboratories or logistics providers. Those sites are outside our control and we accept no responsibility for their content, availability or privacy practices. A link is not an endorsement.
10. Disclaimers and limitation of liability
The Site is provided "as is". To the fullest extent permitted by law we exclude all implied warranties in relation to the Site and do not warrant that it will be uninterrupted, error-free or free of harmful components.
We are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, contracts, goodwill or anticipated savings, arising from your use of the Site. Our total liability arising from the Site is limited to GBP 100. Liability arising from the sale of Goods is governed exclusively by the relevant supply contract.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
11. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your misuse of the Site, or your breach of applicable sanctions, export control, customs or anti-money-laundering law.
12. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including mine closures, export bans, sanctions changes, strikes, embargoes, port congestion, extreme weather, epidemic, war or civil unrest.
13. Governing law and jurisdiction
These terms and any dispute arising from them or from use of the Site are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any arbitration clause agreed in an individual supply contract.
